Job Summary

The Corporate Counsel, Director – Commercial Contracts is an integral member of the legal team responsible for the day-to-day coordination of legal work on commercial contracts and commercial operations. More specifically, s/he will be responsible for, at the direction of the Associate General Counsel or his/her designee, (i) handling the day-to-day legal work related to the company's generics and specialty divisions, including finance, HR, IT, sales and marketing, R&D, general commercial, REMS and clinical contracting, (ii) working with the contracts administration team in review of customer-facing contracts, and (iii) implementing and overseeing the contracts review policy and internal document repository system. 

The ideal candidate will have law firm and/or in-house experience in drafting and negotiating NDAs, MSAs, PSAs, HCP and non-HCP consulting agreement, IT licensing agreements, clinical research and REMS agreements and commercial customer agreements, including product purchase agreements, rebate agreements, GPO and wholesaler agreements, and working with clients in the pharmaceutical industry with a strong competency on advising on pharmaceutical business issues. The successful candidate will be knowledgeable of the generics and specialty U.S. pharmaceutical industry including U.S. pharmaceutical laws, FDA regulations, and industry standards, GDPR, CCPA and privacy laws, and should be able to apply such laws, regulations and standards to inform business activities.

The Corporate Counsel, Director – Commercial Contracts role requires extraordinary organizational capabilities, in addition to outstanding technical legal skills in the relevant areas of contract review and experience managing team members. The successful candidate will possess a minimum of 10 years of experience. 

Essential Functions

  • Oversee the company’s commercial contracts and general business matters by providing direct legal services on a broad range of matters.
  • Liaise with generics pharmaceuticals contracts management team and his/her handling of commercial contracting.
  • Supervise and manage senior paralegal in his/her to support the carrying out of the above activities.
  • Handle clinical trial and REMS contracting
  • Work with and supervise outside counsel on various legal matters as appropriate.
  • Provide well‐reasoned and practical legal advice and counsel in a timely fashion.


Qualifications

Education

  • Doctorate Degree - JD degree from a nationally recognized law school - Required
  •  Admitted to the Bar of at least one state and eligible for admission to the NJ Bar as in-house counsel. - Required
  • Bachelors Degree (BA/BS) - Required

Work Experience

  • 10 years or more of legal experience as a commercial attorney with pharmaceutical experience - Required
